Data Provision and Cooperation

To deliver effective analytics services, you agree to:

  • • Provide timely access to necessary marketing data, analytics platforms, and business information
  • • Ensure data quality and completeness to enable accurate analysis and reporting
  • • Cooperate with our team during data collection, analysis, and implementation phases
  • • Obtain all necessary permissions and consents for data sharing with our team
  • • Maintain appropriate data governance practices within your organization

Compliance and Legal Requirements

You must ensure compliance with all applicable laws and regulations:

  • • Comply with GDPR, Cyprus data protection laws, and other relevant privacy regulations
  • • Obtain necessary consents for data processing and analytics activities
  • • Ensure marketing practices align with consumer protection and advertising standards

Prohibited Activities

Service Usage Terms and Limitations

Service Scope and Delivery

  • • Services are provided according to agreed-upon statements of work and project specifications
  • • Delivery timelines are estimates and may vary based on data availability and complexity
  • • Service modifications require mutual agreement and may affect pricing and timelines
  • • We reserve the right to subcontract certain specialized services to qualified partners
  • • Service interruptions may occur for maintenance, updates, or technical issues

Intellectual Property Rights

  • • Our methodologies, frameworks, and proprietary tools remain our intellectual property
  • • Client-specific reports and insights are owned by the client upon full payment
  • • We may use aggregated, anonymized data for benchmarking and service improvement
  • • Any custom-developed tools or dashboards may be subject to separate agreements

Payment Terms and Conditions

  • • Payment terms are Net 30 days from invoice date unless otherwise specified
  • • Late payments may incur interest charges of 1.5% per month or maximum legal rate
  • • Disputed charges must be reported within 30 days of invoice receipt
  • • Services may be suspended for accounts with overdue payments exceeding 60 days
  • • All fees are quoted in Euros (€) and exclude applicable taxes unless stated

Service Limitations

  • • We provide analytical insights and recommendations, not business guarantees
  • • Service performance depends on data quality and completeness provided by clients
  • • External platform changes may affect our ability to access or analyze certain data
  • • We are not responsible for implementation of recommendations or business outcomes
  • • Service levels may vary during peak periods or system maintenance windows

Liability Limitations and Disclaimers

Service Disclaimers

Our analytics services are provided on an "as-is" and "as-available" basis. While we strive for accuracy and reliability, we cannot guarantee specific business outcomes or results from the implementation of our recommendations.

  • • Analytics insights are based on available data and established methodologies
  • • Market conditions, external factors, and implementation variables affect outcomes
  • • We disclaim warranties of merchantability and fitness for particular purposes
  • • No guarantee of specific ROI improvements or performance metrics

Limitation of Liability

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for services in the twelve (12) months preceding the claim.

  • • No liability for business interruption or lost profits

Client Indemnification

Legal Information and Dispute Resolution

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of law principles. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Cyprus.

  • • Cyprus law applies to contract interpretation and enforcement
  • • European Union regulations apply where relevant
  • • International clients subject to Cyprus jurisdiction for disputes
  • • English language version of Terms prevails in case of translation disputes

Dispute Resolution Process

We encourage resolution of disputes through direct communication. If informal resolution fails, we prefer mediation before pursuing litigation.

Step 1 - Direct Communication: Contact our team directly to discuss concerns and seek resolution
Step 2 - Formal Notice: Provide written notice detailing the dispute and proposed resolution
Step 3 - Mediation: Participate in good faith mediation through qualified Cyprus mediators
Step 4 - Legal Action: Resort to formal legal proceedings only after exhausting alternative resolution

Terms Modification and Updates

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website with updated effective dates.
